Free shares: tax deferral on contribution to an employee holding company extended to awards to at least 50% of employees
In Article 80 quaterdecies, III of the General Tax Code, the tax deferral on the acquisition gain of free shares contributed to a company, currently limited to awards benefiting all of a company's employees, would be extended to awards to at least 50% of the employees of the awarding company representing at least 25% of total gross salaries, under the conditions of Article L. 225-197-1, I of the Commercial Code. According to the explanatory statement, the aim is to ease the creation of employee holding companies for employee buyouts; tax is deferred until the shares are sold.
